When does an MOI amendment become effective?
The ability to amend a company’s MOI is an important feature of corporate flexibility. A key legal question which has historically arisen is when an amendment to an MOI becomes legally effective.
For several years, this position was uncertain. It has now been clarified following the promulgation of the Companies Amendment Act 16 of 2024 (“Amendment Act”) on 27 December 2024. In particular, the Amendment Act clarified the position under section 16(9)(b) of the Act, regarding the effective date of MOI amendments following the filing of a Notice of Amendment with the Companies and Intellectual Property Commission (“CIPC”).
The position under section 16(9)(b) of the Act
The amended provision provides that an amendment to an MOI becomes effective 10 business days after receipt of the Notice of Amendment by CIPC, unless CIPC:
- endorses the amendment earlier, in which case it becomes effective on endorsement; or
- rejects the Notice of Amendment with reasons before the expiry of the 10-business-day period.
It should be noted that this position does not apply uniformly to all MOI amendments. In particular, amendments relating to a company’s name remain subject to separate provisions of the Act.
Practical drafting considerations
From a practical drafting perspective, companies and legal practitioners should ensure that any definition of an “Effective Date” in a standard-form or bespoke MOI aligns with section 16(9)(b) of the Act.
Failure to align such provisions may create inconsistencies between the MOI and the statutory framework, potentially resulting in uncertainty regarding governance decisions, shareholder rights and the implementation of amended provisions.
Conclusion
The Amendment Act introduces welcome certainty to the corporate governance landscape by clarifying when amendments to an MOI become legally effective. Directors and company secretarial practitioners would be well advised to revisit existing MOIs to ensure alignment with the amended legislative framework.
